TERMS AND CONDITIONS

Welcome to OFF CUE ("OFF CUE", "we", "us", or "our"). These Terms & Conditions govern your use of our website and the creative, strategic, consulting, campaign and experiential services we provide.

By using our website or engaging our services, you agree to these Terms.

  • Brand & Creative Direction

  • Creative Strategy

  • Campaign Development & Management

  • Brand Experiences, Events & Activations

  • Art Direction

  • Creative Consulting

  • Content & Social Media Direction

  • Related creative and project management services

Specific services, deliverables, timelines and fees will be outlined in a separate proposal, quotation, statement of work or client agreement for each project.

2. PROJECTS & PROPOSALS

Submitting an enquiry does not guarantee that OFF CUE will accept a project.

Proposals and quotations are valid for 14 days from the date issued unless otherwise stated.

A project is confirmed once the scope has been agreed, the required agreement has been signed where applicable, and the required deposit or initial payment has been received.

Project-specific agreements take precedence over these general Terms where the two conflict.

3. FEES & PAYMENT

Fees and payment terms will be outlined in the applicable proposal, quotation or client agreement.

Unless otherwise stated, full payment is required before services commence. Any deposits made are non-refundable. A different payment schedule may apply where agreed in writing for a particular project.

All invoices are payable by the due date stated. OFF CUE reserves the right to pause or withhold services where payment is overdue.

Any applicable taxes, bank fees, currency conversion fees, payment-processing fees or international transfer charges are the client's responsibility unless otherwise agreed.

4. SCOPE & REVISIONS

Work is limited to the scope and deliverables agreed for the project.

Requests outside the agreed scope, additional revisions, new creative directions, accelerated timelines or significant changes to an approved direction may result in additional fees.

The number of concepts, revisions and deliverables included in a project will be specified in the applicable client agreement.

5. CLIENT RESPONSIBILITIES

Clients are responsible for providing accurate information, materials, approvals and feedback necessary for the project.

Delays caused by missing information, late feedback, delayed approvals or changes to the brief may affect the project timeline and may result in additional costs.

Clients are responsible for ensuring that materials they provide to OFF CUE can legally be used for the project.

6. EVENTS & EXPERIENCES

For events, activations and experiential projects, the client is responsible for costs and requirements specifically assigned to them in the applicable project agreement, including venue, permits, third-party suppliers, talent, travel or production costs where applicable.

OFF CUE will make reasonable efforts to manage the agreed creative and project responsibilities but is not responsible for delays, cancellations, losses or failures caused by circumstances or third parties outside our reasonable control.

Event-specific terms may be included in the relevant project agreement.

7. INTELLECTUAL PROPERTY

All OFF CUE branding, website content, concepts, proposals, processes, frameworks, templates, unused concepts and working materials remain the property of OFF CUE unless otherwise agreed in writing.

Rights to final project deliverables will transfer or be licensed to the client according to the applicable client agreement and, where applicable, only after full payment has been received.

Third-party assets such as fonts, stock imagery, music, software and other licensed materials remain subject to their respective licences.

8. PORTFOLIO USE

Unless otherwise agreed in writing, OFF CUE may showcase completed work in its portfolio, website, social media, presentations and promotional materials once the work has been publicly released.

Confidential or embargoed projects will be handled according to the applicable client agreement or written confidentiality arrangement.

9. RESULTS

OFF CUE provides creative and strategic services but does not guarantee specific commercial, financial, audience, sales, engagement or other results unless expressly agreed in writing.

Project outcomes may be affected by factors outside our control, including market conditions, audience behaviour, advertising spend, client decisions and third-party platforms.

10. THIRD-PARTY SERVICES

OFF CUE may work with or coordinate photographers, videographers, printers, venues, talent, production teams, platforms and other third-party suppliers.

Unless otherwise stated, third-party costs are separate from OFF CUE's professional fees and may be payable by the client.

OFF CUE is not responsible for the independent actions, delays or failures of third-party suppliers.

11. CANCELLATION & TERMINATION

Either party may terminate a project in accordance with the applicable client agreement.

If a client cancels a project after work has begun, the client remains responsible for work completed, approved commitments and non-refundable third-party costs incurred up to the date of cancellation.

Additional cancellation terms may be included in the project-specific agreement.
